1. Business use only; who may use InvoiceStamp
InvoiceStamp is strictly for business use. Consumers may not use it, and by signing up you confirm you are acting as a business.
1.1. Strictly B2B. The Service is a business-to-business software service intended exclusively for commercial, professional, and business use by freelancers, independent contractors, sole traders, partnerships, agencies, companies, and other corporate or unincorporated business entities.
1.2. Consumer use prohibited. Access to or use of the Service by individuals acting as consumers — that is, for personal, family, domestic, or household purposes outside any trade, business, craft, or profession — is expressly prohibited. If you are not acting for business purposes, you must not register for or use the Service.
1.3. Business-capacity warranty. By registering for or using the Service, you represent and warrant, on a continuing basis, that: (a) you are acting wholly or mainly in the course of a trade, business, craft, or profession; (b) you are entering into these Terms in that business capacity and not as a consumer; and (c) all documents you create through the Service relate to your business activity. We are entitled to rely on this warranty in providing the Service and in setting these Terms, and you acknowledge that the Service and its pricing are offered on the basis of this warranty.
1.4. No consumer regime intended. Because the Service is supplied strictly for business use, the parties agree that these Terms are a commercial (B2B) contract and that, to the maximum extent permitted by applicable law, consumer protection regimes applicable to non-commercial contracts are not intended to and shall not apply to these Terms or the Service, and you waive the benefit of any such regimes to the fullest extent such a waiver is permitted by applicable law. If, notwithstanding the foregoing, a competent authority determines that any mandatory rule of law applies and cannot be waived, these Terms shall apply to the fullest extent consistent with that rule.
1.5. Capacity and age. You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) and have full legal capacity and authority to enter into a binding commercial contract. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
1.6. Misrepresentation of status. If you register for or use the Service in breach of clauses 1.1–1.3, we may suspend or terminate your account immediately, and you shall indemnify us in accordance with clause 13 against any losses, claims, or regulatory consequences arising from your misrepresentation of your business status.
1.7. You may not use the Service if you are prohibited from doing so under applicable law, or if we have previously suspended or terminated your account.
2. Your account
Keep your credentials safe. You are responsible for what happens under your account.
2.1. Registration. Access to the Service requires an account. Authentication is provided through third-party identity providers (including Apple Sign-In and Google Sign-In via Firebase Authentication). You are responsible for the security of the credentials and devices you use to access your account.
2.2. Accuracy. You agree to provide true, accurate, current, and complete information when registering — including accurate business details — and to keep that information up to date. We may suspend or terminate accounts registered with false or misleading information.
2.3. Responsibility. You are responsible for all activity that occurs under your account, whether or not authorised by you. Notify us promptly at contact@invoicestamp.com if you suspect any unauthorised access to or use of your account.
2.4. One user per account. Accounts are personal to your business and may not be sold, transferred, shared, or sublicensed to any third party without our prior written consent.
3. The Service
InvoiceStamp is a tool for creating and managing business documents. It is not an accountant, lawyer, or tax adviser.
3.1. InvoiceStamp provides a mobile-first platform for creating, customising, managing, and sending business documents — including invoices, quotations/estimates, and sale orders — together with document templates, PDF generation, payment tracking, and cloud synchronisation across your devices.
3.2. We may add, modify, or discontinue features of the Service at any time. Where a change materially reduces the core functionality of a paid subscription, we will give you reasonable prior notice.
3.3. Cloud synchronisation. Data you enter into the Service is synchronised to our secure cloud infrastructure so that it remains available across your devices and is not lost if a device is damaged, lost, or replaced. Synchronisation requires an internet connection; features may be limited while offline.
3.4. Templates. The Service includes a library of document templates, which we update on an ongoing basis. Availability of specific templates may depend on your subscription tier and may change over time. We grant you a limited, non-exclusive, non-transferable licence to use the templates solely to generate documents for your own business through the Service. You may not extract, copy, resell, or redistribute the templates themselves.
4. Your responsibility for financial documents
This section matters. You — not InvoiceStamp — are responsible for the content, accuracy, and legal validity of every document you create.
4.1. InvoiceStamp is a tool, not an adviser. The Service enables you to generate invoices, quotations, sale orders, and related documents. We do not review, verify, or approve the contents of any document you create. We are not a law firm, accounting firm, or tax adviser, and nothing in the Service constitutes legal, tax, accounting, or financial advice.
4.2. Compliance is on you. You are solely and exclusively responsible for ensuring that every document you create, send, or store using the Service complies with all laws and regulations applicable to you and your business, including without limitation:
- invoicing content, format, and mandatory-metadata requirements in every jurisdiction relevant to you (for example, HMRC invoicing requirements in the United Kingdom);
- VAT, sales tax, and other tax registration, calculation, rates, invoicing, and reporting obligations;
- sequential numbering, record-keeping, archiving, and retention obligations;
- currency selection, currency conversion, rounding, and disclosure requirements; and
- any industry-specific or contractual requirements applicable to your clients.
4.3. Calculations and defaults. The Service may pre-fill amounts, apply tax rates you configure, assign document numbers, perform arithmetic or currency display, or suggest content. All such features are provided as conveniences only. You must review every document before issuing it, and you are solely responsible for verifying all figures, tax treatments, document numbering, currencies and conversions, regulatory metadata, payment details, and recipient information.
4.4. No liability for tax and regulatory outcomes. Without limiting clause 12, you acknowledge and agree that BIGBANG.MA shall have no responsibility or liability whatsoever for, and you release us from any claim arising out of: (a) tax penalties, interest, assessments, or surcharges imposed on you; (b) the outcome of any tax audit, inspection, or enquiry; (c) errors, gaps, or duplications in document or invoice numbering sequences; (d) incorrect, outdated, or unapplied currency conversions or exchange rates; (e) missing, incomplete, or non-compliant regulatory invoice metadata or mandatory particulars; or (f) the rejection or invalidation of any document by a tax authority, client, court, or other third party.
4.5. Your transactions are yours. Any commercial relationship, invoice, or payment between you and your clients is solely between you and them. We are not a party to those transactions, we do not process payments between you and your clients, and we accept no responsibility for whether your clients pay you, dispute a document, or otherwise perform.
5. Your content and data
You own your data. You give us just enough rights to run the Service for you — and you promise your uploads don't infringe anyone's rights.
5.1. Ownership. As between you and us, you retain all rights, title, and interest in and to the data and content you submit to the Service — including your business details, logos, signatures, images and other media, client records, product/service lists, and the contents of the documents you generate ("Your Content").
5.2. Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, transmit, display, and back up Your Content solely: (a) to provide, maintain, secure, and improve the Service; (b) to generate the documents and outputs you request (including rendering PDFs through our backend rendering infrastructure); and (c) as otherwise permitted by our Privacy Policy or required by law. This licence ends when Your Content is deleted from the Service, except for residual copies in routine backups (which are purged on a rolling basis) and copies we must retain by law.
5.3. Your uploads are lawful. You represent and warrant that Your Content — including, without limitation, any logos, trade marks, brand assets, signatures, photographs, or other media you upload to our storage infrastructure — is owned by you or lawfully licensed to you, and that its upload, storage, display, and use within the Service does not and will not infringe the intellectual property rights, publicity rights, privacy rights, or any other rights of any third party.
5.4. Client data. Your Content may include personal data of your clients and contacts. You warrant that you have the lawful right (including, where required, appropriate notices or consents) to submit that data to the Service and to have it processed as described in these Terms and our Privacy Policy. As between the parties, you act as controller of your clients' personal data and we process it on your behalf as processor, in accordance with our Privacy Policy and applicable data processing terms.
5.5. Aggregated and anonymised data. We may generate and use aggregated, anonymised, or statistical data derived from use of the Service (which does not identify you or any individual) for any lawful purpose, including improving and promoting the Service.
5.6. Your backup responsibility. While the Service synchronises your data to the cloud, no system is infallible. You are responsible for periodically exporting or retaining copies of documents that are critical to your legal, tax, or accounting obligations.
6. Acceptable use
Use InvoiceStamp honestly and lawfully.
You agree that you will not, and will not permit anyone else to:
- use the Service for any fraudulent, deceptive, or unlawful purpose, including creating false, misleading, or fictitious invoices or financial documents;
- use the Service to facilitate money laundering, tax evasion, or any other financial crime;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity, in any document or communication generated through the Service;
- submit content that is illegal, defamatory, infringing, or that violates the rights (including privacy and intellectual property rights) of any third party;
- upload viruses, malware, or any code designed to damage, disrupt, or gain unauthorised access to the Service or any system;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;
- scrape, harvest, or extract data from the Service by automated means, or use the Service to build a competing product;
- circumvent, disable, or interfere with security features, usage limits, or subscription entitlements of the Service; or
- resell, rent, lease, or provide the Service to third parties as a service bureau or otherwise, without our prior written agreement.
We may investigate suspected violations and may suspend or terminate access, remove content, and/or report activity to law enforcement where we reasonably believe these Terms or the law have been breached.
7. Subscriptions, trials, billing, and chargebacks
Paid plans are billed through the app stores and renew automatically unless you cancel. Chargebacks are treated as a material breach.
7.1. Plans. Certain features of the Service require a paid subscription. Current plans, prices, and entitlements are presented in-app and/or on our website and may change from time to time. Price changes will not affect a subscription period you have already paid for.
7.2. App store billing. Subscriptions purchased through the Apple App Store or Google Play are billed by Apple or Google under their respective terms. Payment is charged to your app store account upon confirmation of purchase.
7.3. Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you cancel auto-renewal at least 24 hours before the end of the current period, via your app store account settings. Deleting the app does not cancel your subscription.
7.4. Free trials. Where a free trial is offered, any unused portion of the trial is forfeited when you purchase a subscription. Unless you cancel before the trial ends, your subscription will begin and payment will be charged at the end of the trial.
7.5. Refunds. Purchases made through the app stores are subject to the refund policies of Apple or Google, as applicable. Except where required by law, fees are otherwise non-refundable, including for partial subscription periods or unused features.
7.6. Taxes. Prices may be stated inclusive or exclusive of VAT or other applicable taxes depending on your app store and location; the price presented at checkout is the price you will be charged.
7.7. Chargebacks and payment reversals. Initiating a chargeback, payment dispute, or reversal through Apple, Google, a card issuer, or any other payment channel in respect of fees properly charged for the Service constitutes a material breach of these Terms. Without prejudice to any other rights or remedies, upon becoming aware of such a chargeback or reversal we may immediately and without prior written notice: (a) suspend or freeze your account and access to the Service; (b) terminate these Terms and your account; and/or (c) after a reasonable retention period consistent with our legal obligations, delete Your Content from our active systems. You remain liable for the disputed fees, together with any chargeback fees, costs, or losses we incur, except where the chargeback is finally determined in your favour by the relevant payment platform. This clause does not restrict your right to raise a good-faith billing dispute with us directly under clause 17.3 before initiating a chargeback.
7.8. Downgrades and lapses. If your subscription lapses or is downgraded, premium features (including premium templates) may become unavailable, but your existing data and previously generated documents will remain accessible in accordance with these Terms.
8. Intellectual property
We own the app. You own your data.
8.1. The Service — including all software, design, user interfaces, templates, branding, trade marks, and content provided by us (excluding Your Content) — is owned by BIGBANG.MA and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights in the Service are granted to you.
8.2. We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use our applications on devices you own or control, and to access the Service, solely for your own business purposes and in accordance with these Terms.
8.3. Documents you generate. The output documents (PDFs, invoices, quotes, etc.) you generate through the Service using Your Content are yours to use freely in the course of your business, notwithstanding that they incorporate our template designs.
8.4. Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use them without restriction or compensation, and they do not create any ownership interest for you in the Service.
9. Third-party services
9.1. The Service relies on third-party infrastructure and services, including cloud hosting, content delivery, authentication (e.g., Firebase Authentication with Apple and Google sign-in), and push notifications. Your use of third-party sign-in is also subject to those providers' terms.
9.2. The Service may link to or interoperate with third-party websites or services. We do not control and are not responsible for third-party services, their content, or their privacy practices. Your dealings with third parties are solely between you and them.
10. Availability, maintenance, and security
10.1. We aim to keep the Service fast, secure, and continuously available, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or events outside our reasonable control.
10.2. We may suspend the Service (in whole or in part) where reasonably necessary to: (a) perform maintenance or deploy improvements; (b) protect the security or integrity of the Service; (c) address an emergency; or (d) comply with law or a request of a competent authority. Where practicable, we will give advance notice of planned maintenance.
10.3. We implement appropriate technical and organisational measures to protect the Service and Your Content, as further described in our Privacy Policy. However, transmission of data over the internet is never completely secure, and you acknowledge that you provide data at your own risk to the extent permitted by law.
11. Disclaimers
The Service is provided "as is", to the extent the law allows.
11.1. Except as expressly set out in these Terms, and to the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", and we disclaim all warranties, conditions, and representations of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.
11.2. Without limiting the above, we do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any document generated through the Service will be legally valid, tax-compliant, or accepted by any tax authority, client, court, or other third party; or (d) any errors in the Service will be corrected.
12. Limitation of liability
Our liability to you is strictly limited, in keeping with the low-cost, self-service nature of the product.
12.1. Non-excludable liability. Nothing in these Terms excludes or limits either party's liability for: (a) death or personal injury caused by that party's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited.
12.2. No indirect losses. Subject to clause 12.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any: loss of profits, revenue, sales, or business; loss of anticipated savings; loss of business opportunity, goodwill, or reputation; business interruption; loss or corruption of data; or any indirect, special, or consequential loss — arising out of or in connection with the Service or these Terms.
12.3. Excluded categories. Subject to clause 12.1, and without limiting clause 4.4, BIGBANG.MA shall have no liability whatsoever, and you agree to hold BIGBANG.MA fully harmless, in respect of any loss, damage, penalty, or claim arising from or connected with: (a) tax penalties, interest, assessments, surcharges, or the outcome of any tax audit, inspection, or enquiry; (b) errors, gaps, or duplications in sequential document or invoice numbering; (c) incorrect, outdated, or unapplied currency conversions or exchange rates; (d) missing, incomplete, or non-compliant regulatory invoice metadata or mandatory particulars; (e) the content, accuracy, legal validity, or tax treatment of any document you create using the Service; (f) any dispute between you and your clients or any failure of a client to pay you; (g) your failure to comply with laws applicable to your business; or (h) your failure to maintain independent copies of critical records.
12.4. Cap. Subject to clause 12.1, BIGBANG.MA's total aggregate liability to you arising out of or in connection with these Terms and the Service, however arising, shall not exceed the lower of: (a) the total subscription fees paid by you to BIGBANG.MA in the three (3) months immediately preceding the event giving rise to the claim; or (b) 500 MAD (five hundred Moroccan Dirhams), or its equivalent in the currency in which you were billed at the exchange rate prevailing on the date of the event.
12.5. Free tiers. If you use the Service without a paid subscription, our total aggregate liability under clause 12.4 is limited to 500 MAD (or its currency equivalent), subject always to clause 12.1.
12.6. Basis of the bargain. You acknowledge that the exclusions and limitations in this clause 12 reflect the allocation of risk between the parties, are a fundamental element of the basis of the bargain, and that the Service's pricing would be materially higher without them.
13. Indemnity
If your content or your conduct gets us sued, you cover us.
13.1. You agree to defend, indemnify, and hold completely harmless BIGBANG.MA, its officers, directors, employees, and agents from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) brought by any third party or authority arising out of or related to:
- (a) Uploaded media and IP claims. Any claim that any logo, trade mark, brand asset, signature, image, or other media uploaded by you to our storage infrastructure — or its storage, display, reproduction, or inclusion in documents generated through the Service — infringes or misappropriates any copyright, trade mark, design right, or other intellectual property or proprietary right of any third party;
- (b) Your Content generally, including any claim that it was submitted without lawful basis or violates any third party's rights;
- (c) your breach of these Terms, including any breach of the business-capacity warranty in clause 1.3;
- (d) your violation of applicable law, including tax, invoicing, and data protection regulations; and
- (e) any dispute between you and your clients or other third parties in connection with documents created through the Service.
13.2. We will notify you of any such claim, provided that failure to notify does not relieve your obligations except to the extent you are materially prejudiced. We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.
14. Suspension and termination
Either side can end the relationship; serious breaches (including chargebacks) can end it immediately.
14.1. By you. You may stop using the Service and delete your account at any time via the in-app settings or by contacting us at contact@invoicestamp.com. Deleting your account does not automatically cancel an app store subscription — you must cancel that separately through your app store settings.
14.2. By us. We may suspend or terminate your access to the Service, with immediate effect, if: (a) you materially breach these Terms and (where the breach is remediable) fail to remedy it within 14 days of notice; (b) you initiate a chargeback or payment reversal as described in clause 7.7 (no prior notice required); (c) you engage in fraudulent, unlawful, or abusive conduct, or use the Service as a consumer in breach of clause 1; (d) required by law or a competent authority; (e) any fees due are unpaid; or (f) we discontinue the Service (in which case we will give you reasonable prior notice).
14.3. Effect of termination. Upon termination: (a) your licence to use the Service ends; (b) we may deactivate your account; and (c) after a reasonable wind-down period, we may delete Your Content from active systems in accordance with our Privacy Policy and data retention practices. You are responsible for exporting important documents before your account closes.
14.4. Survival. Clauses which by their nature should survive termination will survive, including clauses 1.3, 1.4, 4, 5.2 (for the period stated), 5.3, 8, 11, 12, 13, 15, 17, and 18.
15. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is identified as confidential or that would reasonably be understood to be confidential, and to use it only as necessary to perform under these Terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known before disclosure, is independently developed, or must be disclosed by law (in which case, where lawful, the receiving party will give prior notice).
16. Changes to these Terms
We may update these Terms from time to time — for example, to reflect changes in the Service, our business, or the law. If we make material changes, we will give you reasonable advance notice (for example, in-app or by email) before the changes take effect. If you do not agree to the updated Terms, you must stop using the Service before they take effect; continuing to use the Service after that date constitutes acceptance. The current version will always be available at www.invoicestamp.com/terms.
17. Governing law and jurisdiction
Moroccan law governs, and the Commercial Court of Marrakech decides any dispute.
17.1. Governing law and exclusive jurisdiction. These Terms, their subject matter, formation, and any contractual or non-contractual disputes arising out of or in connection with them or the Service shall be governed exclusively by the laws of the Kingdom of Morocco. The Commercial Court of Marrakech (Tribunal de Commerce de Marrakech), Morocco, shall have sole and exclusive jurisdiction over any claim, suit, or legal proceeding.
17.2. Waiver of objections. To the fullest extent permitted by applicable law, each party irrevocably waives any objection to the venue and jurisdiction specified in clause 17.1, including any objection based on inconvenient forum, and agrees not to commence or pursue proceedings relating to these Terms or the Service in any other court or forum.
17.3. Good-faith resolution first. Before commencing any formal proceedings, both parties agree to attempt in good faith to resolve any dispute informally by contacting the other party (for us: legal@invoicestamp.com) and allowing 30 days for resolution.
18. General
18.1. Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements on that subject. Each party acknowledges that it has not relied on any statement, promise, or representation not set out in these Terms.
18.2. Severability. If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable (or severed if that is not possible), and the remaining provisions will remain in full force.
18.3. No waiver. A failure or delay by either party to enforce any right under these Terms is not a waiver of that right.
18.4. Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, by giving you notice.
18.5. Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, governmental action, internet or utility failures, or failures of third-party infrastructure providers.
18.6. No agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and us.
18.7. Export and sanctions. You may not use the Service in violation of applicable export control or sanctions laws.
